Software End User License Agreement For Products Provided by Sound Yeti — Kontakt Instruments, Plugins, and Other Licensed Software

This Software End User License Agreement (hereinafter “EULA”) is a legal agreement between the Licensee (an individual person, hereinafter “You” or “Your” or “Sound Yeti Customer”) and Sound Yeti (hereinafter “SY”) for the copyrighted software, Kontakt instruments, plugins, libraries embedded in software products, serial keys / license keys, documentation, and related digital materials (hereinafter the “Software”) You have licensed. The specific Software which You are licensing is listed on Your purchase receipt. Software has been licensed to You by SY and not sold to You. Your use of the Software is limited by this EULA and international copyright laws.

Acceptance

You accept and agree to be bound by the terms of this agreement by purchasing, installing, downloading, activating, licensing, or otherwise using the Software. If you do not agree with the terms of this EULA, do not use the Software. Rights not expressly granted to You hereunder are reserved by SY.

Important Note About Sound Yeti EULAs

This Software EULA applies only to Sound Yeti software products (including Kontakt instruments and other serial-keyed products). Sound libraries and packs sold separately are covered by the Sound Yeti Sound Library End User License Agreement. Rights under one EULA do not extend to products covered by another.

1. License

1.1 Grant of License

In consideration of the license fee You paid and subject to the terms of this EULA, SY grants to You (a single user, person) a limited, non-exclusive, non-transferable, perpetual (unless otherwise stated on your receipt), royalty-free license, without right to sub-license, to install and use the Software for commercial and non-commercial creative production in accordance with this EULA.

1.2 Single-User, Non-Transferable

This EULA grants use of the Software only to You, a single named person (Licensed User). A Licensed User is not a workstation, device, site license, shared login, script, robot, or API. You may not copy, share, distribute, resell, transfer, or sub-license the Software or any serial / license key in whole or in part.

1.3 Serial Keys and Activation

Where the Software requires a serial key or other activation mechanism:

keys are personal to You;
You may not share, publish, sell, or redistribute keys;
SY may limit the number of activations or authorized machines as stated at purchase or in product documentation;
circumvention, cracking, keygen use, or tampering with license enforcement is prohibited and is a material breach of this EULA.

1.4 Multi-User / Studio Seats

Use by more than one person requires a multi-user or studio license specifying the number of Licensed Users on your purchase receipt or written agreement. Contact [email protected] for multi-user licensing.

1.5 Bundled Audio Content

Sample content, presets, or libraries shipped inside the Software may be used only as part of the Software’s intended playback and performance features. You may not extract, isolate, repackage, or redistribute bundled audio as a standalone sound library or like product. Synchronization of Software output into finished productions (music, film, games, etc.) is permitted in the ordinary course of using the Software.

1.6 Installation and Backup

You may install the Software on machines you personally use, subject to activation limits. You may make one copy for archival (backup) purposes only.

2. Limitations & Use Restrictions

2.1 No Reverse Engineering

Except to the extent permitted by applicable law that cannot be waived, You may not reverse engineer, decompile, disassemble, or attempt to derive source code or underlying structure of the Software.

2.2 No Redistribution or Resale of Like Products

You may not resell, redistribute, or share the Software (or extracted components) as a standalone product. You may not adapt, modify, reformat, or repackage the Software or its bundled content for resale or distribution as a like product, sample library, or instrument without express written consent from SY.

2.3 Artificial Intelligence (AI) and Machine Learning Restrictions

Bundled audio and other Content within the Software shall not be used for training, developing, or enhancing any artificial intelligence (AI) or machine learning models, algorithms, or systems without the express written consent of SY. Unauthorized AI use is a material breach and may result in immediate termination of this License. Contact [email protected] regarding AI Usage Licenses.

3. Limitation of Responsibility

3.1 Indemnity

You will indemnify, hold harmless, and defend SY, its employees, agents, and distributors against any and all claims, proceedings, demands, and costs resulting from or in any way connected with your use of the Software.
In no event (including, without limitation, in the event of negligence) will SY, its employees, agents, or distributors be liable for any consequential, incidental, indirect, special, or punitive damages whatsoever arising out of or related to this EULA or the Software.
You bear sole responsibility for any loss incurred due to failure of the Software to meet your requirements.

3.2 Warranties (As Is)

Except as expressly stated in writing, SY makes no representations or warranties in respect of the Software and expressly excludes all other warranties, expressed or implied, including any implied warranties of merchantable quality or fitness for a particular purpose. The Software is licensed to You “as is” without warranties of any kind.

3.3 Governing Law

This Agreement shall be governed by the laws of the United States applicable therein. You hereby irrevocably attorn and submit to the non-exclusive jurisdiction of the courts of the United States therefrom. If any provision is unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity of the remaining provisions.

3.4 Termination

Any failure to comply with this EULA will result in automatic and immediate termination of this license. Upon termination You agree to cease use of the Software and destroy all copies You have produced, including serial keys in your possession to the extent reasonably practicable.

3.5 Intellectual Property

SY retains sole and exclusive ownership of all right, title, and interest in and to the Software and related Intellectual Property. You may not claim ownership or authorship of the Software.
